Purchasing Terms and Conditions

These Purchasing Terms and Conditions (Allgemeine Einkaufsbedingungen, AEB) apply to all orders placed by Molytun GmbH with its suppliers. They are referenced in every order and form a binding part of the contract.

§ 1 Scope

These Purchasing Terms and Conditions (AEB) apply to all orders placed by Molytun GmbH (Gaußstraße 10, 85757 Karlsfeld, Germany) with its suppliers. They are referenced in every order and form a binding part of the contract. Deviating, conflicting or supplementary terms and conditions of the supplier shall only become part of the contract if Molytun GmbH has expressly agreed to their validity in writing.

§ 2 Supply Chain Due Diligence (Compliance Clause)

The supplier acknowledges that Molytun GmbH, as a Union importer, is subject to the due diligence obligations of Regulation (EU) 2017/821 and the German Minerals Due Diligence Act (Mineralische-Rohstoffe-Sorgfaltspflichten-Gesetz, MinRohSorgG), insofar as deliveries fall under Annex I of that Regulation (in particular tungsten, tantalum, tin and gold as well as their ores and metal products).

The supplier undertakes:

  • to actively avoid, within its own supply chain, the risks listed in Annex II of the OECD Due Diligence Guidance (serious human rights abuses, support for non-state armed groups, bribery, money laundering);
  • to provide information, upon request by Molytun GmbH, on the origin of the minerals and metals supplied — in particular on the smelters and refiners involved in the supply chain, including their Smelter ID (CID);
  • to fully complete the current Conflict Minerals Reporting Template (CMRT) of the Responsible Minerals Initiative upon request and return it to compliance@molytun.com;
  • to inform Molytun GmbH without delay as soon as a smelter appears in its supply chain that is not RMAP-validated or loses its conformant status;
  • to inform Molytun GmbH without delay if the countries of origin or supply routes of its upstream suppliers change in such a way that sourcing from conflict-affected or high-risk areas (in accordance with the EU CAHRAs list) cannot be ruled out.

§ 3 Cooperation Obligations and Evidence

Upon request, the supplier shall provide Molytun GmbH with the following documents within a reasonable period:

  • mill test certificates or equivalent material evidence for the delivered batches;
  • transport and accompanying documents;
  • information on the supply chain (smelters, refiners, upstream suppliers) within the scope of due diligence;
  • a written supplier’s declaration on the origin of the materials.

The documents listed shall, where available, be enclosed with the delivery; missing evidence shall be provided upon first request.

§ 4 Breach and Legal Consequences

If the supplier breaches the obligations set out in § 2 or § 3 and fails to remedy the breach within a reasonable period set by Molytun GmbH (at least 30 days) following a written warning, Molytun GmbH shall be entitled to terminate the business relationship with immediate effect and to cancel pending orders, without the supplier being entitled to any claims for damages as a result. Further statutory rights remain unaffected.

§ 5 Data Processing and Confidentiality

Molytun GmbH processes the data transmitted under these AEB exclusively for the fulfilment of the due diligence obligations under Regulation (EU) 2017/821 and discloses it only to the competent authority (DEKSOR) insofar as a statutory disclosure obligation exists. Beyond confidential business information of the supplier, no data is passed on to third parties.

§ 6 Final Provisions

German law shall apply, to the exclusion of the UN Convention on Contracts for the International Sale of Goods (CISG). The language of the contract is German. The place of jurisdiction shall be Munich, insofar as legally permissible. Should individual provisions of these AEB be invalid, the validity of the remaining provisions shall remain unaffected.
